TERMS AND CONDITIONS OF SALES QUOTE

1. QUOTE VALIDITY

This sales quote is valid for a period of 30 days from the date of issuance unless otherwise specified. Prices, terms, and availability of goods and services are subject to change without notice after the expiration of the validity period.

2. PRICING AND TAXES

All prices quoted are in U.S. dollar and are exclusive of applicable taxes, fees, and duties unless otherwise stated. Any applicable sales tax, VAT, or other government-imposed fees will be added to the final invoice unless a valid tax exemption certificate is provided by the buyer.

3. PAYMENT TERMS

Payment terms shall be as specified in the quote. Unless otherwise agreed upon in writing:

• Full payment upon order
• Late payments may incur interest charges of 1.5% per month or the maximum allowable by law.

4. ORDER ACCEPTANCE

This quote does not constitute a binding agreement until an official purchase order is received and accepted by PMG. Acceptance of the order is at the sole discretion of the company and is subject to product availability and approval of the buyer’s credit status.

5. DELIVERY TERMS

• Estimated delivery dates are provided for convenience only and are subject to change.
• PMG is not liable for delays due to unforeseen circumstances, supply chain disruptions, or force majeure events.
• All deliveries are FOB unless otherwise specified.

6. CANCELLATION AND MODIFICATIONS

• Orders may only be canceled or modified with the written consent of PMG.
• Cancellation fees may apply based on the progress of the order.

7. RETURNS AND WARRANTY

• Returns of goods are subject to PMG‘s return policy.
• Warranty terms, if applicable, are specified in the product documentation or agreement.
• Defective or non-conforming products must be reported within 30 days of receipt.

8. LIABILITY LIMITATION

PMG shall not be liable for any indirect, incidental, consequential, or special damages arising out of or in connection with this quote, including but not limited to lost profits, loss of use, or business interruption.

9. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of Pennsylvania, without regard to its conflict of law principles. However, if the transaction occurs in another state where PMG operates, the laws of that state may apply to the extent required by local regulations. Any disputes arising from or related to this Agreement shall be resolved in the state or federal courts located in Pennsylvania, unless otherwise required by applicable law.

10. CONFIDENTIALITY

This quote and its contents are confidential and may not be disclosed to third parties without the express written consent of PMG.

11. ENTIRE AGREEMENT

These Terms and Conditions, along with the sales quote, constitute the entire agreement between the parties and supersede any prior negotiations or agreements.

By accepting this quote, the buyer agrees to the above Terms and Conditions.
